ClearView shareholders back Zurich deal
About 93% of ClearView Wealth shareholders have voted in favour of Zurich’s $415 million buyout offer.
ClearView Wealth revealed the vote results this afternoon, as Zurich edges closer to wrapping up the acquisition.
Ahead of a meeting on the scheme of arrangement, chair Geoff Black said this morning the board still unanimously recommended shareholders support the deal in the absence of a superior proposal.
An independent expert appointed to assess the offer had also concluded it was “fair and reasonable and in the best interests of ClearView shareholders”, he added.
“In making their unanimous recommendation …. the ClearView directors carefully considered the advantages and disadvantages of the scheme and of ClearView remaining as a standalone, ASX-listed company, including the risks and opportunities relating to the implementation of ClearView’s strategic plan,” Mr Black said.
He said the 65c cash-per-stock offer provided shareholders “attractive certainty” of value and cash liquidity for their holdings.
The deal has secured approval from the competition watchdog and the prudential regulator.
A hearing in the Supreme Court of NSW is set for Thursday as part of the regulatory clearance process.
